Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern the educational services provided by Saints & Scholars Academy Limited ("SSA"), a company incorporated in British Columbia, Canada (BC Incorporation Number: BC1587331).

By submitting an enrollment application, completing payment, or participating in any SSA program, you ("Parent" or "Guardian") agree to these Terms. If you do not agree, do not enroll.

2. Services Offered

Saints & Scholars Academy Limited provides subscription-based academic tutoring and mentorship programs for students in Grades 4 through 12. Services are currently delivered exclusively online via video conferencing platforms.

SSA reserves the right to introduce in-person session formats in future cohorts. Updated Terms will be provided to enrolled families prior to any change in delivery format. Separate compliance obligations, including facility, insurance, and in-person supervision requirements, will apply at that time.

Current Plans

SSA reserves the right to modify, discontinue, or replace any plan with reasonable notice to enrolled families.

3. Enrollment and Eligibility

Enrollment in SSA programs is by invitation only. Submission of a waitlist application does not guarantee enrollment. SSA accepts or declines applications at its sole discretion.

By completing enrollment on behalf of a student, the parent or guardian confirms that they have full legal authority to enroll the student and to consent to these Terms on the student's behalf.

Enrollment is confirmed only upon receipt of full payment for the first billing period. No cohort placement is guaranteed until payment is received and confirmed.

Families must ensure that all information provided during enrollment — including student name, grade level, contact details, and academic goals — is accurate and complete.

4. Payment Terms

All fees are charged in Canadian dollars (CAD). SSA accepts payment by credit card and debit card, processed through Stripe, Inc. SSA does not store card details — all payment data is handled directly by Stripe.

Billing Cycle

Subscriptions are billed monthly on the date of initial enrollment and renew automatically each month on the same date until cancelled in accordance with Section 5.

Failed Payments

If a payment fails, SSA will retry within 3 business days. If payment cannot be collected after two attempts, SSA may suspend or terminate enrollment without further notice.

Price Changes

SSA may adjust subscription pricing with a minimum of 30 days written notice. Continued enrollment after a price change takes effect constitutes acceptance of the new rate.

5. Cancellation Policy

Families may cancel their subscription at any time by providing written notice to director@saintsscholars.ca.

Cancellation becomes effective at the end of the current billing cycle, provided at least 14 days notice is given before the next renewal date. Any sessions or billing obligations scheduled during this period remain active and payable. SSA does not prorate partially used billing periods.

Example: If your subscription renews on July 1 and you submit cancellation notice on June 12, your subscription will remain active through June 30, with no further charges after that date.

6. Refund Policy

SSA's refund policy is as follows:

All refund requests must be submitted in writing to director@saintsscholars.ca. Refunds are processed within 7–10 business days.

7. Session Scheduling and Attendance

Session dates and times are communicated to enrolled families via email following confirmation of enrollment. SSA will make reasonable efforts to maintain consistent scheduling throughout each cohort period.

Student Absences

If a student is unable to attend a scheduled session, the parent or guardian must notify SSA at least 24 hours in advance via email. SSA does not guarantee makeup sessions for student absences but will make reasonable efforts to accommodate where possible.

SSA-Initiated Cancellations

If SSA must cancel a scheduled session for any reason, enrolled families will be notified as promptly as possible, and SSA will schedule a makeup session within the same billing period where operationally feasible.

8. Student Conduct and Dismissal

SSA is committed to maintaining a structured, respectful, and academically focused environment. All students are expected to:

SSA reserves the right, at its sole discretion, to dismiss any student from the program for conduct that is disruptive, disrespectful, or inconsistent with SSA's standards. In such cases, SSA will provide a minimum of 7 days written notice to the family and issue a pro-rated refund for unused sessions in the current billing period.

SSA's decision regarding student dismissal is final.

9. Scholarship Eligibility

SSA operates a Scholarship Fund as part of its program model. Eligibility for scholarship consideration is subject to the following conditions:

10. Mentors and Tutors

SSA engages University of British Columbia (UBC) students as academic mentors and tutors. All mentors are selected based on academic performance, subject proficiency, and suitability for working with younger students.

SSA mentors and tutors are independent contractors or employees of Saints & Scholars Academy Limited and do not represent UBC in any official capacity. UBC is not affiliated with or responsible for SSA's programs.

SSA reserves the right to reassign or replace mentors at any time to maintain program quality and operational continuity.

11. Limitation of Liability

SSA makes no guarantees regarding specific academic outcomes, grade improvements, or university admissions results. Services are provided on an "as is" basis.

To the extent permitted by applicable law, SSA's total liability to any enrolled family shall not exceed the total fees paid in the three months preceding the event giving rise to the claim.

12. Intellectual Property

All session materials, progress reports, curricula, and frameworks produced by SSA — including the PFF report format — are the property of Saints & Scholars Academy Limited. Families may not reproduce, distribute, or commercialize any SSA materials without prior written consent.

13. Governing Law and Disputes

These Terms are governed by the laws of British Columbia and applicable federal law. Disputes will first be addressed by contacting director@saintsscholars.ca. If unresolved, disputes are subject to the jurisdiction of the courts of British Columbia.

14. Amendments

SSA may update these Terms at any time. Enrolled families will be notified by email at least 14 days before material changes take effect. Continued enrollment constitutes acceptance. The current version is always available at saintsscholars.ca/terms.
